These terms govern a school's use of Vero Education (Vero), supplied by Letts Learn Pty Ltd (ABN 77 683 713 028). The school's order form or written service agreement forms part of these terms. If they conflict, the order form controls commercial details and approved customer-specific requirements; these terms and Vero's Privacy Policy describe the general service and privacy position.
1. School service
Vero is a paid school service for student movement and related school operations. The service includes the main application, administration application, teacher web app and the providers and integrations identified in Vero's Privacy Policy.
Vero does not offer individual parent or family subscriptions, advertising, vendor-to-student messaging or public profiles. A demonstration or evaluation does not authorise production school data unless the parties expressly agree to an appropriately protected school trial.
2. School authority and users
The school confirms that it is authorised to use Vero and provide the personal information needed for the service. The school:
- determines why and how Vero is used for its students and staff;
- provides any required collection notices and obtains authority or consent required by law or school policy;
- authorises, provisions and supervises users and assigns appropriate roles;
- keeps its source or MIS data accurate and informs Vero of relevant changes;
- applies its child-safety, acceptable-use and emergency procedures; and
- promptly reports suspected security, privacy, safety or account misuse.
Students do not contract directly with Vero. Vero support is provided through authorised school staff and is not an emergency service.
3. Acceptable use
Every user must follow Vero's Acceptable Use and Online Safety Policy and the school's applicable rules. Users must use their own authorised identity, access only information needed for their role and avoid unnecessary personal or sensitive information in free text, uploads and support requests.
The school must not permit unlawful, abusive or unsafe use; unauthorised access, disclosure, scraping or testing; credential sharing; interference with the service; or use of Vero data for advertising, unrelated profiling or unauthorised AI/ML.
4. Privacy and school data
The school retains control of its school and user data. Letts Learn processes that data on the school's instructions to provide, secure, support and lawfully operate Vero. The Privacy Policy describes the information, purposes, providers, overseas-processing boundary, rights process, security, retention and incident approach and is incorporated into these terms.
Vero does not sell personal information or use school or user data for third-party advertising or to train AI models. New service providers and material privacy changes follow Vero's prior-notice process.
The school may request a reusable export and validated deletion through support@vero.education. Unless a shorter agreed instruction, applicable records requirement or law applies, active school/user records are targeted for removal within 30 days after a validated termination or deletion instruction and recoverable backup copies expire within 90 days. A legal hold applies only to affected records.
5. Security and incidents
Vero uses named access, role and school boundaries, MFA for privileged access where supported, encryption, managed hosting, monitoring, secure development, incident response and recovery controls. The school must protect its accounts, devices and exports and notify Vero promptly of suspected compromise.
If a confirmed security or privacy incident affects the school, Vero will contain and investigate it and notify affected schools without undue delay, then notify individuals or regulators where required by law and the applicable agreement. Notices provide known relevant details and are updated as the investigation progresses.
6. Availability, support and changes
Vero will use reasonable care to operate and support the service. Internet and managed-provider services can experience maintenance, interruption or security events. Schools should maintain appropriate manual continuity procedures for student supervision and duty of care.
Vero may make non-material service changes. Vero gives affected school administrators at least 30 calendar days' notice before a planned material change to these terms or the Privacy Policy, the purposes for handling school or user data, or the service providers and countries used to handle it, unless law, an emergency or circumstances outside Vero's reasonable control prevent prior notice.
7. Fees, term, suspension and termination
Fees, service period, invoicing and any renewal are stated in the order form or written agreement. Prices are in Australian dollars and exclude GST unless stated otherwise.
Either party may terminate as provided in the order form or written agreement. Vero may suspend affected access where reasonably necessary for non-payment, security, safety, unlawful use or material breach, and will limit the suspension to what is reasonably required. Termination ends access but does not remove accrued payment, confidentiality, privacy, data-return, deletion or legal obligations.
8. Intellectual property and confidentiality
Letts Learn and its licensors retain intellectual-property rights in Vero. The school receives a non-exclusive, non-transferable right for its authorised users to use the service during the agreed term. The school retains rights in its school/user data and grants Letts Learn and its listed providers only the rights needed to provide, secure and support the service.
Each party must protect the other's confidential information and use it only for the agreement, except where disclosure is authorised or required by law.
9. Warranties and liability
Each party warrants that it has authority to enter the agreement. Vero will provide the service with due care and skill. Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.
To the extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable. Letts Learn's aggregate liability arising from the service is limited to the fees paid or payable for the affected service in the 12 months before the event, except to the extent a different limit is required by law or agreed in writing. This limit does not exclude liability that cannot lawfully be limited.
10. General
The school may not assign the agreement without written consent, except as part of a lawful organisational restructure. Letts Learn may use the listed service providers and may assign the agreement as part of a business transfer that preserves the applicable privacy and security obligations.
If part of these terms is unenforceable, the remaining terms continue. A delay in enforcing a right is not a waiver. Australian law applies and the courts of Queensland have non-exclusive jurisdiction, subject to mandatory law and any approved customer-specific jurisdiction term.
